1. Platform Description and AI Technology Disclosures

1.1 About EZclass

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and EZclass OÜ, a private limited company incorporated under the laws of the Republic of Estonia (Registry Code: 16802842), with its registered office at Harju maakond, Tallinn, Kesklinna linnaosa, Tornimäe tn 5, 10145, Estonia (“EZclass,” “we,” “us,” or “our”).

EZclass operates an online English language learning platform that provides live video classes with qualified teachers, AI-assisted placement testing and assessment, structured learning pathways, and learner progress tracking tools (collectively, the “Platform” or “Service”).

By creating an account, accessing any part of the Platform, purchasing a subscription or lesson credits, or otherwise using the Service, you agree to be bound by these Terms in their entirety. If you do not agree, you must not use the Service.

1.2 AI Technology — Accurate Provider Disclosure

The Platform incorporates AI-powered features for placement testing, assessment, and transcription. The following providers are used. We are committed to transparency about how your data is processed.

1.2.1 OpenAI Whisper — Speech-to-Text Transcription

Provider: OpenAI, L.L.C., 3180 18th Street, San Francisco, CA 94110, USA (“OpenAI”)

Function: Audio recordings submitted during placement tests and speaking assessments are transcribed into text using OpenAI’s Whisper speech-to-text model.

Data Processed: Voice audio recordings submitted by the User during assessments.

Data Retention: Raw audio recordings are retained for up to 90 days from the date of submission, after which they are permanently deleted. Transcribed text that forms part of a test result may be retained for up to 3 years as part of your assessment record.

International Transfer: OpenAI operates servers in the United States. Audio data is transferred to the US under the EU–US Data Privacy Framework (DPF), pursuant to the European Commission’s adequacy decision of 10 July 2023 (Commission Implementing Decision (EU) 2023/1795), as OpenAI, L.L.C. is certified under the DPF.

Training Prohibition: OpenAI does not use API inputs (including your audio) to train or improve OpenAI models. OpenAI does not build personal profiles from your test responses.

Biometric Data Clarification: Voice recordings submitted to OpenAI Whisper are used solely for transcription purposes. They are not processed for biometric identification, speaker recognition, or voiceprint creation. EZclass does not use voice data to identify you biometrically.

1.2.2 OpenAI — Writing and Speaking Scoring

Provider: OpenAI, L.L.C. (“OpenAI”), a company incorporated under the laws of the People’s Republic of USA, San Francisco, California, USA. API endpoint: api.openai.com; model: gpt-4o-mini.

Function: Transcribed text from speaking assessments and written responses submitted during placement tests and scored exercises are evaluated using OpenAI’s language model to generate indicative proficiency scores for both writing and speaking.

Data Processed: Text content of your written responses and transcribed speaking responses during assessments.

Data Retention: Raw text inputs submitted to OpenAI’s API are retained for up to 90 days from the date of submission, after which they are permanently deleted. Scoring outputs and test results are retained for up to 3 years as part of your assessment record.

International Transfer: OpenAI, L.L.C. is based in San Francisco, California, USA, and its API infrastructure operates outside the European Economic Area. Text data is transferred to the People’s Republic of USA under Standard Contractual Clauses adopted by the European Commission (Decision 2021/914) as the applicable transfer safeguard under GDPR Article 46(2)(c). You acknowledge that the level of data protection in the People’s Republic of the United States are made under the EU–US Data Privacy Framework (DPF).

Training Prohibition: OpenAI does not use API inputs to train or improve OpenAI models per its enterprise API terms of service. OpenAI does not build personal profiles from your test responses.

Biometric Data Clarification: Text data submitted to OpenAI is used solely for language proficiency evaluation. It is not used for biometric identification or profiling.

1.2.3 AI Accuracy Disclaimer

AI-assisted evaluations generated by the above providers are indicative assessments only. They are designed to support language learning and to provide placement guidance. They do not constitute official certifications, qualifications, or formal language proficiency credentials. EZclass expressly disclaims any warranty that AI-generated scores reflect or will align with the results of any standardised language examination (including but not limited to IELTS, TOEFL, Cambridge examinations, or any national language certification). You should not rely on EZclass AI scores as a substitute for official examination results.

1.2.4 Video Infrastructure — Zoom

Live classes are conducted using the Zoom Video SDK provided by Zoom Video Communications, Inc. (“Zoom”), 55 Almaden Boulevard, Suite 600, San Jose, CA 95113, USA. Video sessions are subject to Zoom’s terms of service and privacy policy. Audio and video data processed within Zoom sessions are not shared with the AI providers described in §1.2.1 and §1.2.2 unless you separately submit an audio or text response through a Platform assessment tool.

2. Eligibility and Age Requirements

2.1 Minimum Age

The Platform is intended for users aged 16 years and older. By creating an account, you represent and warrant that you are at least 16 years of age.

2.2 Learners Aged 16–17 (Supervised Programs)

Learners who are aged 16 or 17 years old may use the Platform, including in the context of supervised educational programs arranged by schools, language institutes, or other qualifying educational organisations (“Supervised Programs”). Where a learner participates through a Supervised Program:

  • The organising institution or a parent/legal guardian (“Guardian”) may register on behalf of the learner and manage the learner’s account and cookie preferences.
  • Parental or Guardian consent is accepted and may be required for participation in Supervised Programs.
  • EZclass may require the organising institution to maintain appropriate records of consent.

By enrolling a learner aged 16–17 in a Supervised Program, the Guardian or organising institution accepts these Terms on the learner’s behalf and assumes responsibility for ensuring the learner’s use of the Platform is appropriate and supervised.

2.3 Adults (18+)

Users aged 18 and over may register independently and are solely responsible for their own account and compliance with these Terms.

2.4 Corporate and Institutional Accounts

If you are accessing the Platform on behalf of a company, employer, or educational institution, you represent that you have the authority to bind that entity to these Terms, and references to “you” include both you and that entity.

2.5 Geographic Eligibility

The Platform is available globally, subject to applicable local laws and any sanctions restrictions. Users located in jurisdictions where use of the Platform would be prohibited by law are not eligible to use the Service.

3. Class Booking, Cancellation, and Scheduling

3.1 Class Booking and Cancellation Policy

3.1.1 Booking

Classes must be booked through the Platform’s scheduling interface. A booking is confirmed when you receive a confirmation notification via the Platform or by email. Each confirmed booking consumes one lesson credit or is charged against your applicable subscription allowance.

3.1.2 Standard Cancellation Window

You may cancel a confirmed class without penalty if you cancel at least 24 hours before the scheduled start time of the class. Cancelled classes where proper notice is given will result in the lesson credit being returned to your account.

3.1.3 Late Cancellation

If you cancel a confirmed class within less than 24 hours of the scheduled start time, the lesson credit for that class will be forfeited and will not be returned to your account, except as provided in §3.1.5 (Teacher Cancellation).

3.1.4 No-Show Policy

If you fail to attend a confirmed class and have not cancelled in advance, the lesson credit will be forfeited. A “no-show” is recorded when a User does not join the class within 10 minutes of the scheduled start time and has not notified EZclass or the teacher of their inability to attend.

3.1.5 Teacher Cancellation

If a teacher cancels a class, regardless of the notice period given, the lesson credit will be fully returned to your account. EZclass will make reasonable efforts to notify you promptly if a teacher cancellation occurs. In the case of a recurring class that is cancelled by the teacher on more than two occasions within a 30-day period, you may contact EZclass support to request a teacher reassignment.

3.1.6 Rescheduling

You may request to reschedule a confirmed class without penalty if you make the rescheduling request at least 24 hours before the scheduled start time. Rescheduling requests made within less than 24 hours of the scheduled start time are subject to teacher availability and may not always be accommodated. If a rescheduled class cannot be arranged, the standard late cancellation policy in §3.1.3 applies.

3.2 Class Format and Delivery

Classes are conducted via video call using the Zoom Video SDK. You are responsible for ensuring you have a stable internet connection, a compatible device, and functioning audio/video equipment. EZclass is not responsible for class quality issues arising from your connectivity or equipment failures.

3.3 Class Content

Class content is determined by the assigned teacher in consultation with your stated learning goals and current level. EZclass does not guarantee that any specific topic, curriculum element, or learning milestone will be covered within a given class.

4. Payments, Subscriptions, and Right of Withdrawal

⚠ IMPORTANT NOTICE: WAIVER OF EU RIGHT OF WITHDRAWAL — PLEASE READ BEFORE PURCHASE

Under Article 9 of Directive 2011/83/EU on consumer rights, consumers in the European Union ordinarily have a 14-day right of withdrawal (cooling-off period) from a distance contract.

However, in accordance with Article 16(a) and Article 16(m) of Directive 2011/83/EU, the right of withdrawal does not apply to:

  • Contracts for the supply of digital content not supplied on a tangible medium where performance has begun with the consumer’s prior express consent and acknowledgment that the right of withdrawal is thereby lost; and
  • Contracts for digital services where performance of the service has begun.

By completing your purchase, you expressly acknowledge and agree that:

  1. Performance of the digital service (including access to the Platform, lesson credits, AI assessments, and subscription features) begins immediately upon purchase.
  2. You expressly request that performance of the service begins immediately.
  3. You acknowledge that you thereby lose your 14-day right of withdrawal once performance has begun.

This acknowledgment is required under Article 8(7) and Article 8(8) of Directive 2011/83/EU and is a condition of purchase.

If you do not wish to waive your right of withdrawal, do not complete your purchase. You may contact us at [email protected] before purchasing if you have questions.

4.1 Payment Processor

All payments are processed by Stripe, Inc. (or its applicable affiliate), a third-party payment processor. By providing payment information, you agree to Stripe’s terms of service and privacy policy. EZclass does not store your full card details on its own servers.

4.2 Pricing and VAT

All prices displayed on the Platform are inclusive of applicable taxes unless otherwise stated. EZclass OÜ is registered for VAT in Estonia. Estonian VAT at the current rate of 24% applies to purchases by consumers and non-VAT-registered customers within Estonia and, where applicable, other EU Member States in accordance with EU VAT rules on digital services (Council Directive 2006/112/EC as amended).

4.3 Reverse Charge — EU B2B Purchases

If you are purchasing as a VAT-registered business established in an EU Member State other than Estonia, the reverse charge mechanism applies. You must provide your valid VAT identification number at checkout. In such cases, EZclass will issue a VAT-exempt invoice and you are responsible for accounting for VAT under the reverse charge in your own jurisdiction.

4.4 Subscriptions

4.4.1 Subscription Plans

EZclass offers monthly and annual subscription plans that provide a set number of lesson credits and/or platform access on a recurring basis. The specific features, lesson allocations, and pricing of each plan are described on the Platform’s pricing page, which may be updated from time to time in accordance with §14 (Amendments).

4.4.2 Auto-Renewal

Subscriptions renew automatically at the end of each billing cycle (monthly or annual, as applicable) unless you cancel before the renewal date. Renewal charges are applied at the then-current subscription price. EZclass will send you a renewal reminder by email at least 14 days before each renewal date for all subscription plans (monthly and annual).

4.4.3 Cancellation of Subscription

You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of the current billing period; you will retain access to subscription features until that date. No refunds are issued for the unused portion of a current billing period, subject to §4.5.

4.4.4 FlexPass

The FlexPass is a pre-purchased bundle of lesson credits that may be used flexibly across class types. FlexPass credits have a defined expiry period as specified at the time of purchase. Unused credits that expire will not be refunded unless required by applicable law.

4.4.5 Lesson Orders

Individual lesson credits may also be purchased outside of a subscription (“Lesson Order”). Lesson Order credits are valid for the period specified at the time of purchase. Lesson credits are non-transferable and may not be exchanged for cash.

4.5 Refunds

4.5.1 General No-Refund Policy

Subject to §4.5.2 and your statutory rights under applicable EU consumer protection law (see §4.5.3), all purchases of subscriptions, FlexPass bundles, and Lesson Orders are final and non-refundable once the right of withdrawal has been waived as described in the notice above.

4.5.2 Exceptional Refunds

EZclass may, at its sole discretion, issue refunds or account credits in exceptional circumstances, including but not limited to:

  • Duplicate charges resulting from a payment processing error;
  • A significant and verified platform outage that prevented access to purchased services for an extended period;
  • Exceptional personal circumstances communicated to EZclass support, assessed on a case-by-case basis.

4.5.3 Statutory Rights Preserved

Nothing in these Terms limits or excludes your statutory rights under applicable EU consumer protection law, including your rights under Directive 2019/770/EU on contracts for the supply of digital content and digital services. Without prejudice to those statutory rights, in cases where the Platform fails to conform to the contract, you may be entitled to remedies including price reduction or termination of the contract in accordance with Directive 2019/770/EU. Any credits-only compensation policy applied by EZclass as a default remedy is offered in addition to, and without prejudice to, your statutory rights under applicable EU consumer protection law, including Directive 2019/770/EU.

4.6 Price Changes

EZclass reserves the right to change subscription and service prices. Any price changes will be communicated to existing subscribers with at least 30 days’ notice by email, and will not take effect until the next renewal cycle. If you do not wish to accept the new price, you may cancel your subscription before the renewal date.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Platform solely for your own personal, non-commercial language learning purposes, or for legitimate corporate/institutional use where applicable. You agree to use the Platform in a lawful, respectful, and constructive manner.

5.2 Prohibited Conduct

You must not:

  • Use the Platform to upload, transmit, or display content that is unlawful, defamatory, obscene, offensive, discriminatory, or threatening;
  • Impersonate any person or entity, or falsely represent your identity or qualifications;
  • Attempt to gain unauthorised access to any part of the Platform, its servers, or related systems;
  • Use automated tools, bots, scripts, or other software to access the Platform in a manner not expressly authorised by EZclass;
  • Reverse-engineer, decompile, disassemble, or attempt to extract the source code of any part of the Platform;
  • Copy, reproduce, modify, or distribute any Platform content, teaching materials, or AI outputs for commercial purposes without EZclass’s prior written consent;
  • Sell, resell, sublicense, or transfer your account or lesson credits to any third party;
  • Use the Platform in a way that disrupts, degrades, or impairs the experience of other users or the performance of the Platform;
  • Submit false, fraudulent, or misleading assessment responses in a way intended to manipulate placement results;
  • Record, screenshot, or capture any live class session without the prior written consent of the teacher and EZclass;
  • Harass, intimidate, or threaten any teacher, staff member, or other user through the Platform.

5.3 Consequences

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account in accordance with §20, forfeiture of unused lesson credits, and may expose you to civil or criminal liability.

6. Teacher Engagement and Conduct

6.1 Teacher Relationship

Teachers on the Platform are independent contractors engaged by EZclass to deliver language instruction. They are not employees of EZclass. EZclass is responsible for setting minimum quality and conduct standards for teachers and for initial vetting, but individual teachers are responsible for their class content and delivery.

6.2 Teacher Standards

EZclass requires all teachers to:

  • Hold recognised English teaching qualifications (such as CELTA, DELTA, or equivalent);
  • Maintain professional, respectful, and constructive conduct during all classes;
  • Provide classes as booked and to give adequate notice of any required cancellation;
  • Maintain confidentiality of student information.

6.3 Reporting Teacher Conduct

If you experience conduct by a teacher that you believe violates these standards, you may report it to EZclass at [email protected]. EZclass will investigate all reports in good faith and may take appropriate action, including reassignment or removal of a teacher from the Platform.

6.4 No Solicitation of Off-Platform Instruction

Teachers are not permitted to solicit or accept direct payments from students for lessons conducted outside the Platform. You must not solicit a teacher for off-platform private lessons. Violation of this provision may result in account termination.

7. Intellectual Property

7.1 EZclass IP

All content on the Platform, including but not limited to course materials, lesson plans, assessment materials, software, user interface design, logos, trademarks, teaching resources, and AI-generated outputs, is the exclusive intellectual property of EZclass OÜ or its licensors and is protected by copyright, trademark, and other applicable intellectual property laws. All rights are reserved.

7.2 Licence to Use

Subject to your compliance with these Terms, EZclass grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and its content solely for your own personal language learning purposes. This licence does not include the right to reproduce, distribute, modify, create derivative works from, or commercially exploit any Platform content.

7.3 Your Content

By submitting any content to the Platform (including written responses, audio recordings, or messages), you grant EZclass a limited, non-exclusive, royalty-free licence to use, store, and process that content for the purposes of operating the Platform, providing the Service, and as described in these Terms and our Privacy Policy. You retain ownership of your own content.

7.4 Feedback

If you provide EZclass with suggestions, ideas, feedback, or other input regarding the Platform (“Feedback”), you grant EZclass a perpetual, irrevocable, royalty-free, worldwide licence to use and incorporate such Feedback into its products and services without any obligation of compensation or attribution to you.

7.5 No Implied Licences

Nothing in these Terms grants you any right, title, or interest in any EZclass IP beyond the limited licence expressly stated in §7.2.

8. Third-Party Services

8.1 Integration with Third-Party Providers

The Platform integrates with third-party services to deliver its functionality. Key third-party providers include:

8.2 No Endorsement

The listing of third-party services in §8.1 does not constitute EZclass’s endorsement of those services beyond their specific stated function. EZclass is not responsible for the practices, content, or reliability of third-party services.

8.3 Third-Party Terms

Your use of third-party services integrated with the Platform may be subject to the separate terms and conditions and privacy policies of those providers. You are encouraged to review those policies. EZclass is not a party to any agreement between you and a third-party provider.

8.4 Changes to Third-Party Services

EZclass may change the third-party providers used to deliver Platform features at any time, provided that any such change that materially affects the processing of your personal data will be communicated in accordance with §9 and §14.

9. Privacy, Data Processing, and Your Rights

9.1 Privacy Policy

The processing of your personal data by EZclass is governed by our Privacy Policy, which is incorporated into these Terms by reference. In the event of any conflict between the Privacy Policy and these Terms on a privacy matter, the Privacy Policy prevails.

9.2 Data Controller

EZclass OÜ (Registry Code 16802842, Harju maakond, Tallinn, Kesklinna linnaosa, Tornimäe tn 5, 10145, Estonia) is the data controller for personal data processed in connection with the Platform.

9.4 Data Retention

  • Raw assessment data: (including audio recordings submitted for transcription and text inputs submitted for scoring): retained for up to 90 days from the date of submission, after which they are permanently deleted.
  • Test results, proficiency scores, and certificates: retained for up to 3 years from the date of issue or the date your account is closed, whichever is earlier.
  • Account data: retained for the duration of your active account plus a period of up to 3 years following account closure, unless a longer period is required by applicable law (e.g., tax records).
  • Payment records: retained for 7 years in accordance with Estonian accounting legislation (Raamatupidamise seadus).

9.5 Your Rights Under GDPR

As a data subject under the GDPR (Regulation (EU) 2016/679), you have the following rights in relation to your personal data:

  • Right of access (Art. 15): You may request a copy of the personal data we hold about you.
  • Right to rectification (Art. 16): You may request correction of inaccurate or incomplete data.
  • Right to erasure (Art. 17 — “Right to Be Forgotten”): You have the right to request deletion of your personal data where it is no longer necessary for the purposes for which it was collected, or in other circumstances provided for by Art. 17 GDPR. To exercise this right, you may submit a request at ezclass.io/make-data-request or by emailing [email protected]. We will process and respond to your erasure request within one calendar month of receipt, or notify you within that period if an extension is required.
  • Right to restriction of processing (Art. 18): You may request that processing of your data is restricted in certain circumstances.
  • Right to data portability (Art. 20): Where processing is based on consent or contract and carried out by automated means, you may request your data in a structured, commonly used, machine-readable format.
  • Right to object (Art. 21): You may object to processing based on legitimate interests or for direct marketing purposes.
  • Rights related to automated decision-making (Art. 22): AI-assisted assessment scoring involves automated processing. You have the right to request human review of any automated assessment that produces a legally significant or similarly significant effect.
  • Right to withdraw consent: Where processing is based on your consent, you may withdraw that consent at any time without affecting the lawfulness of processing before withdrawal.

9.6 Right to Lodge a Complaint

You have the right to lodge a complaint with the Estonian Data Protection Inspectorate (Andmekaitse Inspektsioon), Tatari 39, 10134 Tallinn, Estonia (aki.ee), or with the supervisory authority of the EU Member State in which you reside or work.

9.7 Legal Bases for Processing

EZclass processes personal data on the following legal bases:

  • Performance of contract (Art. 6(1)(b) GDPR): Processing necessary to provide the Service you have contracted for.
  • Legal obligation (Art. 6(1)(c) GDPR): Processing required by applicable law, including tax, accounting, and AML obligations.
  • Legitimate interests (Art. 6(1)(f) GDPR): Processing for platform security, fraud prevention, service improvement, and customer support, where your interests and rights do not override EZclass’s legitimate interests.
  • Consent (Art. 6(1)(a) GDPR): Processing for optional features such as marketing communications and certain cookies, where you have provided express consent.

9.8 International Transfers

Personal data transferred to third-party providers outside the EEA is subject to appropriate safeguards as described in §1.2. Specifically: transfers to OpenAI (USA) are made under the EU–US Data Privacy Framework (DPF); transfers to OpenAI, L.L.C. (People’s Republic of USA) are made under EU–US Data Privacy Framework (DPF). Copies of applicable transfer safeguards are available on request at [email protected].

10. Disclaimers

10.1 No Guarantee of Specific Outcomes

EZclass does not warrant or guarantee that use of the Platform will result in any specific language learning outcomes, improvements, qualifications, or test scores. The effectiveness of language learning depends on individual factors beyond EZclass’s control.

10.2 Platform Availability

EZclass endeavours to maintain the Platform in continuous operation but does not warrant uninterrupted, error-free availability. The Platform may be subject to planned maintenance, third-party service interruptions, or unforeseen technical issues. EZclass will make reasonable efforts to notify users of planned downtime in advance.

10.3 AI Assessment Limitations

As stated in §1.2.3, AI-assisted assessments are indicative and do not constitute official certifications. EZclass makes no warranty as to the accuracy, completeness, or fitness for any particular purpose of AI-generated scores.

10.4 Teacher Availability

EZclass does not guarantee the availability of any specific teacher or class time. Teacher schedules are subject to change.

10.5 Disclaimer of Warranties

To the maximum extent permitted by applicable law, EZclass provides the Platform “as is” and “as available,” without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Nothing in this clause affects mandatory consumer warranty rights that cannot be excluded under applicable EU law, including Directive 2019/770/EU.

11. Limitation of Liability

11.1 Aggregate Cap

To the maximum extent permitted by applicable law, EZclass’s total aggregate liability to you arising from or in connection with these Terms, the Platform, or the Service shall not exceed the greater of:

  1. the total amount paid by you to EZclass in the 12 months immediately preceding the event giving rise to the claim; or
  2. EUR 100.

11.2 Excluded Losses

To the maximum extent permitted by applicable law, EZclass shall not be liable for:

  • Loss of profits, revenue, or business;
  • Loss of anticipated savings;
  • Loss of data (other than as set out in §11.3);
  • Indirect, incidental, special, consequential, or punitive damages;
  • Damage to reputation or goodwill;

arising in any way in connection with the Platform, these Terms, or the Service.

11.3 Exclusions from the Cap

Nothing in these Terms limits or excludes EZclass’s liability for:

  • Death or personal injury caused by EZclass’s negligence;
  • Fraud or fraudulent misrepresentation;
  • Any liability that cannot be excluded or limited under applicable law, including mandatory consumer protection rights under EU law;
  • Any liability under Directive 2019/770/EU that cannot be contractually excluded.

11.4 Statutory Rights

Without prejudice to your statutory rights under applicable EU consumer protection law, including Directive 2019/770/EU, the limitations in this Section §11 are subject to those rights.

12. Indemnification

12.1 User Indemnification

You agree to indemnify, defend, and hold harmless EZclass OÜ, its directors, employees, contractors, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Platform in violation of these Terms;
  • Your breach of any applicable law or regulation;
  • Any content you submit to the Platform that infringes the intellectual property or other rights of any third party;
  • Your violation of any third party’s rights.

12.2 Cooperation

EZclass will promptly notify you of any claim for which indemnification is sought and will provide reasonable cooperation in the defence of such claim at your expense. EZclass reserves the right to assume the exclusive defence and control of any matter subject to indemnification.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting [email protected] or using the account deletion feature (where available in your account settings). Termination by you does not entitle you to a refund of unused subscription periods or lesson credits, except as required by applicable law or as provided under §4.5.

13.2 Termination by EZclass

EZclass may suspend or terminate your account and access to the Platform:

  • Immediately, if you materially breach these Terms (including violations of the Acceptable Use Policy in §5);
  • With 30 days’ written notice (by email), if EZclass discontinues the Platform or a material part of it;
  • With immediate effect, if required by applicable law or regulatory authority;
  • In accordance with §20 (Account Suspension and Reinstatement).

13.3 Effect of Termination

Upon termination:

  • Your right to access the Platform ceases immediately.
  • Unused lesson credits are forfeited, except where termination is initiated by EZclass without cause, in which case EZclass will provide a pro-rata refund of unused prepaid credits within 30 days.
  • EZclass will retain your data for the periods specified in §9.4, subject to your right to request erasure under §9.5.

13.4 Survival

The following Sections survive termination of these Terms: §7 (Intellectual Property), §9 (Privacy), §10 (Disclaimers), §11 (Limitation of Liability), §12 (Indemnification), §15 (Governing Law), and any other provisions that by their nature should survive.

14. Amendments

14.1 Right to Amend

EZclass reserves the right to amend these Terms at any time. We will provide notice of material changes by:

  • Posting the revised Terms on the Platform with a new “Last Updated” date;
  • Sending an email notification to the address associated with your account at least 30 days before the revised Terms take effect, for material changes that affect your rights or obligations.

14.2 Continued Use

If you continue to use the Platform after the effective date of the revised Terms, you are deemed to have accepted the changes. If you do not accept the revised Terms, you must stop using the Platform and may terminate your account in accordance with §13.1.

14.3 Price and Material Changes

Price changes are governed by §4.6. EZclass will not apply material adverse changes to your rights under these Terms without the notice described in §14.1.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of laws principles.

15.2 EU Consumer Rights

If you are a consumer resident in an EU Member State, the above choice of law does not deprive you of the protection afforded by the mandatory provisions of consumer protection law in your country of residence. You retain all rights provided to you by the mandatory consumer protection laws of your country.

15.3 Dispute Resolution — Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting EZclass at [email protected]. EZclass will attempt to resolve the dispute within 30 days of receiving written notice.

15.4 Online Dispute Resolution

If you are an EU consumer, you have the right to refer disputes to the European Commission’s Online Dispute Resolution (ODR) platform, accessible at: https://ec.europa.eu/consumers/odr. EZclass’s email address for ODR purposes is: [email protected].

15.5 Jurisdiction

Subject to §15.2, the courts of Tallinn, Estonia shall have exclusive jurisdiction over any dispute arising from or in connection with these Terms or the Platform.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable subscription confirmation, constitute the entire agreement between you and EZclass with respect to the Platform and supersede all prior agreements, representations, and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.3 Waiver

EZclass’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of EZclass.

16.4 Assignment

You may not assign your account, rights, or obligations under these Terms without EZclass’s prior written consent. EZclass may assign its rights and obligations under these Terms to any affiliate or successor in connection with a merger, acquisition, or sale of assets, provided that any such assignee assumes all obligations under these Terms.

16.5 Notices

Notices from EZclass to you will be sent to the email address registered to your account. You are responsible for keeping your contact details current. Notices from you to EZclass must be sent to [email protected] or to the registered office address stated in §1.1.

16.6 Language

These Terms are drafted in English. In the event of any conflict between an English-language version and any translation, the English-language version shall prevail to the extent permitted by applicable law.

17. Copyright and DMCA

17.1 Copyright Ownership

All Platform content, including courses, lesson materials, assessment content, software, and AI-generated outputs, is the property of EZclass OÜ or its licensors and is protected by copyright law.

17.2 Copyright Infringement Claims

If you believe that your copyright-protected work has been used on the Platform in a way that constitutes copyright infringement, please send a written notification to:

Your notification must include:

  • A physical or electronic signature of the copyright owner or authorised agent;
  • Identification of the copyrighted work claimed to be infringed;
  • Identification of the material claimed to be infringing and its location on the Platform;
  • Your contact information;
  • A statement that you have a good-faith belief that the use is not authorised;
  • A statement that the information in your notification is accurate and, under penalty of perjury, that you are the copyright owner or authorised to act on their behalf.

17.3 Counter-Notification

If you believe that material removed in response to a copyright notice was removed incorrectly, you may submit a counter-notification to [email protected] in accordance with applicable law.

18. Cookies Notice

18.1 Use of Cookies

The Platform uses cookies and similar tracking technologies to operate core features, personalise your experience, analyse platform usage, and where you consent, to deliver relevant marketing content.

18.3 Managing Cookie Preferences

You may manage your cookie preferences at any time via the cookie preference centre accessible in the footer of the Platform. You may also control cookies through your browser settings, though disabling certain cookies may affect Platform functionality.

18.4 Cookie Preferences for Supervised Learners

For learners aged 16–17 participating in Supervised Programs, cookie preferences may be managed by the supervising institution or Guardian on the learner’s behalf, as described in §2.2.

18.5 Third-Party Cookies

Some cookies on the Platform are set by third parties (including Zoom, Stripe, and analytics providers). These are subject to the respective third parties’ cookie policies.

19. Force Majeure

19.1 Force Majeure Events

EZclass shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to:

  • Acts of God, natural disasters, or severe weather events;
  • War, terrorism, civil unrest, or government actions;
  • Pandemic, epidemic, or public health emergency;
  • Widespread internet outages or failures of critical infrastructure;
  • Strikes or industrial action affecting EZclass or its key suppliers;
  • Failures or outages of third-party service providers (including Zoom, Stripe, or OpenAI) that are not reasonably within EZclass’s control.

19.2 Notification

EZclass will notify affected users as soon as reasonably practicable if a force majeure event materially affects the availability of the Platform, and will endeavour to restore service as promptly as possible.

19.3 Extended Force Majeure

If a force majeure event prevents EZclass from performing material obligations under these Terms for a continuous period exceeding 30 days, either party may terminate the agreement upon written notice, and EZclass will provide a pro-rata refund of prepaid, unused lesson credits.

20. Account Suspension and Reinstatement

20.1 Grounds for Suspension

EZclass may suspend your account, with or without prior notice depending on the severity of the circumstances, on any of the following grounds:

  • Reasonable suspicion of breach of the Acceptable Use Policy (§5);
  • Non-payment of amounts due;
  • Suspected fraudulent activity or unauthorised account access;
  • Receipt of a credible complaint regarding your conduct toward a teacher or other user;
  • Compliance with a legal or regulatory obligation.

20.2 Notice of Suspension

Where practicable and not contrary to law, EZclass will notify you of a suspension by email to the address registered to your account and provide a brief explanation of the reason. In cases of suspected fraud or security risk, suspension may be immediate and without prior notice.

20.3 Reinstatement

If your account is suspended for reasons other than termination (§13), you may request reinstatement by contacting [email protected] and providing information to address the grounds for suspension. EZclass will review reinstatement requests in good faith and respond within 10 business days.

20.4 Credits During Suspension

Lesson credits associated with your account are frozen during a suspension period and will not expire solely due to the suspension. Upon reinstatement, your credits will be restored. If suspension results in permanent termination under §13.2(a), credits are forfeited.

21. White-Label and Enterprise Arrangements

21.1 White-Label Agreements

EZclass may make the Platform available to corporate or institutional partners under white-label arrangements pursuant to a separate written agreement (“Enterprise Agreement”). In such cases, the partner (“Enterprise Partner”) may present the Platform under its own branding.

21.2 Relationship with These Terms

Users accessing the Platform through a white-label arrangement are still subject to these Terms unless the Enterprise Agreement between EZclass and the Enterprise Partner expressly provides for a separate, superseding set of terms agreed with EZclass. The Enterprise Partner is responsible for ensuring that end users are made aware of the applicable terms.

21.3 Data Processing

Where an Enterprise Partner deploys the Platform for its employees, students, or customers, the Enterprise Partner and EZclass may enter into a data processing agreement (“DPA”) that governs the processing of personal data in that context. In the absence of a separate DPA, these Terms and the Privacy Policy govern.

21.4 Liability in White-Label Contexts

EZclass is not responsible for representations made by Enterprise Partners to their end users beyond the functionality and features that EZclass provides under the Enterprise Agreement.

22. Subdomains and Custom Environments

22.1 Subdomain Deployments

EZclass may provide access to the Platform through custom subdomains (e.g., [partner].ezclass.io) for institutional or enterprise customers. These subdomains are operated by EZclass and subject to these Terms, unless a separate Enterprise Agreement expressly provides otherwise.

22.2 Custom Domain Environments

In some cases, Enterprise Partners may host a white-label version of the Platform on their own domain. EZclass does not control the custom domain environment or any additional services the Enterprise Partner adds around the Platform. EZclass’s liability is limited to the functionality provided directly by EZclass under the applicable Enterprise Agreement.

22.3 Security of Custom Environments

Enterprise Partners responsible for custom domain deployments are responsible for the security of their own domain and any additional infrastructure. EZclass is responsible only for the security of the core Platform functionality it delivers.
